Organizer Terms of Use

Trip Organizer Policy

This agreement constitutes a contract between You (“You”) and Listo Travel Inc. (“Listo Travel” and “Us/”We/Our”), each individually a Party and collectively referred to as "Parties. This Agreement may be updated from time to time at the discretion of Listo Travel without notice to you.

The following terms and conditions, together with any documents they expressly incorporate by reference, including the Privacy Policy, SMS Policy, Terms of Service, and Trip Guest Policy (collectively, these “Terms of Use” or “Agreement”), govern Your and Your Authorized Users’ registration with, access to and use of:

● the Listo Travel “Website”

● the Listo Travel “App”

● “Listo Services”

● Website, App, and Listo Services shall be individually and collectively be referred to as “Licensed Products”

All references to “You” “Your”, and “Subscriber” in this Agreement includes You and your Authorized Users unless otherwise specifically stated.

PLEASE READ THE TERMS OF USE CAREFULLY BEFORE YOU REGISTER FOR A WEBSITE OR APP PROFILE OR START TO USE THE LICENSED PRODUCTS. BY USING ANY OF THE LICENSED PRODUCTS, YOU ACCEPT AND AGREE TO BE BOUND AND ABIDE BY THESE TERMS OF USE, AS AMENDED FROM TIME TO TIME ON THE WEBSITE, APP OR VIA YOUR PROFILE. IF YOU DO NOT WANT TO AGREE TO THESE TERMS OF USE, YOU MUST NOT ACCESS OR USE ANY LICENSED PRODUCTS. IT IS YOUR RESPONSIBILITY TO CHECK THE WEBSITE AND APP PERIODICALLY TO OBTAIN THE LATEST VERSION OF THIS AGREEMENT. YOU AGREE THAT UPDATES TO THE WEBSITE AND APP SHALL QUALIFY AS NOTICE TO YOU IN WRITING OF ANY CHANGED TERMS HEREIN.

If there is any ambiguity or conflict between this Policy and the Terms of Service, the terms of the Terms of Service shall govern.

The definitions used in the Terms of Service shall apply herein.

Also a Trip Guest

At all times on a Trip or Features for which You serve as the Trip Organizer, You shall also be subject to the Trip Guest Policy Sections on “Trip Guest Responsibility for Theft and Damages” and “Trip Guest Profiles and Profile Pages”, as if You were also a Trip Guest. For purposes of those terms only, You will be treated as a “Trip Guest.” However, You will remain solely a “Trip Organizer” for all other policy terms.

Trip Documentation

You agree that Listo Travel may require that You provide Us with documentation of all bookings and reservations, including deposits paid, for Trips and/or individual Features offered by You on the Licensed Products to Trip Guests. You further agree that You are responsible to provide this information within fourteen (14) days after We request it, and that Listo Travel may unilaterally cancel any Trip, Feature, Trip Booking or Trip Agreement[CK1] , in its sole discretion, if you fail to provide such satisfactory documentation. In the event that We make a cancellation for this reason, a full refund shall be due Trip Guest from You, to be administered by Listo Travel.

Accounting

When You use the Licensed Products to offer a Trip or Features to Trip Guests, You Give permission to Listo Travel to administer funds, including refunds for cancellations that any party, including Listo Travel makes. You understand and agree that the Licensed Products may be used by Listo Travel to:

Calculate the total costs of Trips, Features, and Platform Fees

Calculate and allocate Deposits and Initial Deposits due from Trip Guests

Collect Deposits and Initial Deposits due from Trip Guests

Collect Platform Fees

Administer transfers of funds and substitutions

Administer and make determinations regarding cancellations and refunds

You hereby authorize Listo Travel and its officers, employees, and designated agents, to act on your behalf as your limited representative solely for the purpose of administering your Listo Travel account and fulfilling our obligations to you under Our Agreement with You. This includes, but is not limited to, releasing funds to You for payment of deposits or costs, initiating or processing refunds, submitting or managing claims, communicating with third-party service providers or payment processors, and making any necessary adjustments or updates to your account information.

This authorization is limited in scope to the services provided under this Agreement and does not create a general agency or fiduciary relationship. You may only revoke this authorization at the conclusion of any ongoing Trips, and such revocation will result in the revocation of Your authority to use the Licensed Products.

You agree that all funds and Accounts administered by Us on Your behalf will be managed through Our payment provider. In the event that our payment provider cannot provide immediate services, We will manage payments manually via bank transfer.

Deposit

You agree that You are responsible for setting an appropriate Deposit and Initial Deposit for all Trips and Features offered by You on the Licensed Products. The Deposit and Initial Deposit shall be sufficient to assure the reservation, booking and full payment of all Features offered on Your Trip. At no time shall the Deposit required from a Trip Guest exceed that portion of all costs that can reasonably be allocated to that Trip Guest for their Trip Booking.

Cancellation and Refunds

When “Extenuating Circumstances” arise after You have posted a Trip or a Trip Guest has made a Deposit or Initial Deposit, You agree that You must either:

1 Allow any Trip Guest with a Trip Booking to cancel the full trip, only, and receive a refund or a trip credit to be applied to a future Trip Booking; or

2. Offer any Trip Guest with a Trip Booking a reasonable alternative to each of the impracticable or impossible Features of the Trip Booking and, if such substitution is agreeable to the Trip Guest, You will allow Listo Travel to transfer Trip Guest’s Trip Booking to apply to those substitutes; or

3. Postpone the Trip or cancelled Feature(s) to a later date and allow Listo Travel to transfer Trip Guest’s Trip Booking to apply to those later dates, if agreeable with the Trip Guest.

This Section shall not apply to circumstances that merely create an inconvenience, such as delays in travel or short-term weather events. In all instances in which You cancel a full Trip Booking under this paragraph, the You shall lose 0.5 points from Your star rating.

You agree to immediately advise Us if a Trip Guest requests a direct refund from You by contacting xxx[CK2] .

Property Listing Policy

When creating a new Trip listing on the Licensed Products, You agree to comply with the following requirements:

● Property Booking and Approval
a. You must fully secure and book the property prior to listing the Trip on the Licensed Products. We will ask for written confirmation of this requirement.
b. You must obtain explicit approval from the property host to accommodate the specific number of guests indicated in the Trip listing. It is Your responsibility to verify if You may change the number of guests and when You must provide the property host with the names of your additional Trip Guests.

● You will specifically include any terms or limitations regarding children or pets within Your Trip listing.

● Guest Information Disclosure - With the consent of each Trip Guest, You shall provide the property host with a complete list of all Trip Guests’ names.

● Compliance with Third-Party Terms and Payment of Obligations - You must adhere to all terms of service established by the property owner or any third-party booking platform and You are responsible for timely payment of all fees, charges, and bills owed to such parties. Listo Travel is not a party to Your agreements with these third parties and assumes no responsibility or liability thereunder.

● Liability for Damages – You are solely liable to the property host or booking platform for any damages to the property caused by any Trip Guest, unless You have other terms within Your written agreement with that property host or owner. In the event of such damages, Listo Travel will cooperate with You and all Trip Guests (without undertaking a duty) to identify the responsible party and take reasonable steps to facilitate the collection and transfer of funds to the Trip Organizer for the purpose of satisfying any claims for damages[CK3] .
